§1 Scope & Subject
1.1 These General Terms and Conditions (hereinafter "GTC") apply to all legal transactions between Ruta Group (trading as "GlasBox Studio"), Ruta Group, Werkstrasse 11 (Studio / Office), 6102 Malters, Canton of Lucerne, Switzerland (hereinafter "Contractor") and its clients (hereinafter "Client").
1.2 These GTC apply exclusively to business transactions (B2B). Conflicting conditions of the Client are not recognized unless the Contractor expressly agrees to their validity in writing.
1.3 The subject of the contracts is, depending on the agreement, software development (Web/App), SEO services, AI implementations, or consulting services.

§2 Type of Service (Important)
2.1 Software & Web (Work Contract): When creating websites or apps, the Contractor owes the production of a functional work according to the specifications.
2.2 SEO & Marketing (Service Contract): For SEO services, the Contractor owes diligent action but no specific success (e.g., Rank #1 on Google). Rankings are influenced by third parties (Google) and cannot be guaranteed.
2.3 AI Solutions: The Contractor implements AI models. Due to the probabilistic nature of AI, the Contractor assumes no liability for the factual correctness ("hallucinations") of the generated outputs.

§3 Client Obligations
3.1 The Client is obliged to provide all data, content (texts, images), and access credentials (server, DNS) required for the project in a timely manner.
3.2 Delays caused by the Client's lack of cooperation shall not be borne by the Contractor and may lead to an adjustment of the schedule.

§4 Compensation & Payment
4.1 The prices agreed in the offer apply. All prices are in Swiss Francs (CHF) excluding VAT, unless stated otherwise.
4.2 Invoices are payable net within 10 days.
4.3 For projects exceeding CHF 3'000, the Contractor is entitled to request a deposit of 30-50%. The project starts upon receipt of payment.
4.4 All rights to the work remain with the Contractor until full payment has been made (Retention of Title).

§5 Acceptance & Warranty
5.1 Upon completion, the Client will be asked for acceptance. Acceptance is deemed to have occurred if the Client uses the work productively or does not report significant defects within 7 days (Tacit Acceptance).
5.2 The warranty period for software bugs is 6 months from acceptance. Defects caused by third-party updates (browsers, APIs) after project completion are excluded.

§6 Liability
6.1 The Contractor is liable only for direct damages caused by intent or gross negligence. Liability for slight negligence and indirect damages (e.g., lost profits, data loss) is excluded to the extent permitted by law.

§7 Confidentiality & NDA
7.1 Both parties undertake to treat all business and trade secrets received in the course of the collaboration as confidential — beyond the end of the contract.

§8 Jurisdiction & Law
8.1 Exclusively Swiss Law applies.
8.2 The exclusive place of jurisdiction for all disputes is Lucerne (Canton of Lucerne, Switzerland). However, the Contractor is entitled to sue the Client at their place of residence/business.
